Description
The Companies Act, 1956 have undergone drastic changes due to the enactment of the new Companies Act, 2013. This Act came in to effect with effect from 1 April 2014. This has changed the basic pattern of Company Law provisions in India. The enactment was due to the effect of new pattern of economic order and globalisation. The implementation of e-governance in the Company Law Administration also supported the need for amendments in the Companies Act.
The main objective of the new Companies Act was the implementation of Corporate Governance. It provides for better administration of Company Law. Certain new concepts such as, class action suits, one man company, CSR, Company Law Tribunal, Buy back of shares, Corporate Governance, Mergers and Amalgamation, Role and Liability of Independent Directors, Directors Nomination and Remuneration Committee, Depositors Protection etc have been amended with new provisions under this Act. More importance is also given to the Rules enacted by the Government of India and provides for delayed legislation for implementation of the Act.
