Description
Taking cognizance of rapid globalization, evolution of corporate and business environment, the Companies Act, 1956 has been amended thoroughly. The new Companies Act, 2013 is a rule based legislation containing only 470 sections unlike the previous Act which was one of the most bulky statutes compared to other laws. An attempt has been made to reduce the content of the substantive portion of the related law in 2013 Act compared to the 1956 Act. The 2013 Act intends to strengthen corporate governance and has introduced concepts like independent  directors, residential directors, the Directors' Nomination and Remuneration Committee, etc. It also aims to ensure protection of investors and transparency. For this purpose terms like class action suits, insider trading, price sensitive information and other additional disclosures have been included in the Act. Following new concepts have also been incorporated under the Act, Viz. one person company, small company, dormant company, e-governance, auditors, mergers and acquisitions, registered valuers, etc. A new section dealing with corporate social responsibility has been inserted in the Act to encourage a socially, environmentally and ethically responsible behaviour by companies. The book contains separate chapters highlighting the main features of the 2013 Act and the proposed Companies (Amendment) Bill, 2014.
