Description
A shareholders' agreement is a contract between the shareholders of a company. The company itself may or may not be a party. Shareholders' agreements are simply contracts separate from and additional to a com- pany's Articles of Association. Their subject matter is both the relationship between the shareholders themselves and that between the shareholders the company. Companies possess legal personality and are regulated by an ever expanding legislative code which makes it desirable for parties wishing to control their own business destiny to enter into shareholders' agreements. The regulatory background makes shareholders' agreements complex and distin- guishes them from some other types of contract.
