Description
The term "Contract" has been defined in Section 2 (h) of the Indian Contract Act, 1872 which states as follows-"an agreement enforceable by law". It impliedly means that all agreements are enforceable by law, if they satisfy the following conditions, namely:-(1) they are made by the free consent of parties; (2) they are made by parties competent to contract; (3) they are made for a lawful consideration and for a lawful object; and (4) they are not expressly declared to be void by the Act. It is pertinent to note here that an agreement which does not satisfy conditions (2), (3) or (4) as aforementioned is not enforceable at law and is therefore a void agreement. A person cannot be bound by a one-sided offer which is never accepted particularly when the parties intend that the contract should be reduced to writing. That is the whole point of insisting on a document. It excludes speculation as to what was and what was not agreed to, however much matter might have been raised by the parties during the stage of negotiation.
