Description
For most parts, assignment is an incrementally developing area of law, with few drastic changes in the legal landscape. In the time since the last edition of The Law of Assignment, however, two major statutory developments have occurred. The first is the passing of the Business Contract Terms (Assignment of Receivables) Regulations 2018 pursuant to section 1 of the Small Business, Enterprise and Employment Act 2015, which nullifies non-assignment clauses in certain circumstances in the context of the financing of receivables. The second is the effect of Brexit on the form (if not substance) of the choice of law rules applicable to assignments. The European Union (Withdrawal) Act 2018 provides for the conversion of directly applicable EU regulations into domestic law; and by virtue of the Law Applicable to Contractual Obligations and Non-Contractual Obligations (Amendment etc) (EU Exit) Regulations 2019, one of those retained and converted EU regulations is the Rome I Regulation (Regulation (EC) 593/2008 of the European Parliament and of the Council of 17 June 2008).
