An interesting application of the "last shot" principle is provided in TRW Ltd v Panasonic Industry Europe GmbH [2021] EWCA Civ 1558.
The issue of "good faith" continues to be a developing area of interest. The extent to which the courts will imply a duty of "good faith" into an agreement is considered by the Court of Appeal in Candey Ltd v Bosheh [2022] EWCA Civ 1103.
The chapter relating to misrepresentation has been updated following recent consideration of the requirement of "inducement" by the Court of Appeal in SK Shipping Europe Ltd v Capital VLCC 3 Corp (C Challenger) [2022] EWCA Civ 231.
Several chapters have also been revised to make the law more accessible. The chapter relating to consideration has been revised to provide a more straightforward account of the key princi- ples. In particular, the relationship between the Court of Appeal decision in Williams v Roffey Bros [1991] 1 Q.B. 1 and the House of Lords decision in Foakes v Beer (1883–84) L.R. 9 App. Cas. 605 is explained using key summary grids. There are also updates to the chapter on the law of frustration to provide a more practical application of the Law Reform (Frustrated Contracts) Act 1943.
