Description
Law is not static, but dynamic similarly, Company Law too changed from time to time. There are significant developments in ownership of shareholding of a company and its management. The Companies Act, from its inception, has been amended number of times and major changes have been brought in. From time to time scams shaked the roots of the companies and the law breakers have been escaped due to loopholes in law. Number of changes in International Trade Relations have taken place with the establishment of World Trade Organization (WTO). Foreign Direct Investments have been welcomed by almost all the states for their economic development. Now 'Global Economy' took charge in the place of 'National Economy'.
In India, the Companies Act, 1956 required a complete reshaping instead of amending.To evolve a new Act it took a decade. To satisfy all the sections of the people and to peg the holes in Company Law, a new Companies Act, 2013 has been passed by Lok Sabha on 18-12-2012. The subject 'Company Law' is not only prescribed for Law Courses but also for Courses viz., C.A., ICWA, ICSI, ACS etc., keeping in view the syllabi of these courses and the syllabi of Bar Council of India and different Universities for LLB/BL. The subject has been presented in five units. The first unit deals with corporate personality, the second units incorporation of a company, the third unit the stock, shares and Dividends the fourth directors and meetings and the final (fifth) unit liquidation and other related issues. The author cannot claim this text book a treatise on Company Law. He aims at to help the students to understand the subject and prepare for examinations. Though there are a number of books on Company Law the author attempted to bring this as a text-book, which is within the reach of student community.
