Description

This Book is based on the practical experience of the authors gained during their career as Company Secretaries. The Book is a comprehensive study for the detailed procedure and formalities required for incorporation and the need based corporate action compliances by a private company as well as conversion of unregistered organization under the Companies Act, 2013 and conversion of private company into public company and vice versa. The Book also covers the topics relating to compliance management by a company after its incorporation like, Board and General Meetings, directors, charges, issuance of shares, debentures, acceptance of deposits, appointment and changes in the directors, related party transactions, loans, advances and investments, requirement for filing of the forms, etc. so that after incorporation of the company, the promoters and/or consultants are well aware of the various requirements of the laws applicable to a private company for due compliance under the Companies Act, 2013 and the rules made thereunder. The present Edition is a combination of the theoretical, practical and jurisprudential issues. The relevant rules, circulars, notifications, guidelines and regulations issued under the Companies Act, 1956 have also been given at appropriate places along with comparable sections under the Companies Act, 2013 with a view to identifying them easily in a simplified manner. Dr. D.K. Jain, M.Com, PCS, ACIS (UK) is a Practicing Company Secretary,engaged in the practising field of Company Law, SEBI and Stock Exchange compliance. He has more than 30 years of practical experience incorporate laws and has been in the profession of Company Secretary for over 26 years.
Dr. Jain is having international professional qualification of Chartered Secretary from the Institute of Chartered Secretaries and Administrators(UK) and is a Fellow Member of the Institute of Company Secretaries of India. He has completed research work on Generally Accepted Accounting Principles and its effect on final Accounts (a comparative study of GAAP of India, UK and USA) and is also a Member of the Indian Council of Arbitration and an Associate Member of the All India Management Association..
Dr. Jain has authored several books for professionals on various topics of Company Law (including Company Law in four volumes)and Corporate Secretarial Practice. He is having keen interest in academics and is a regular contributor of articles on various corporate matters in newspapers and professional journals and also the member of the editorial Board of monthly bulletin Focus published by the Western India Regional Council of the Institute of Company Secretaries of India and a member of the Management Committee of the CCGRT of the ICSI

Ishan Jain, FCS, RV (SFA), is a Practicing Company Secretary and Registered Valuer for the Securities or Financial Assets from the Insolvency & Bankruptcy Board of India engaged in the practising field of FEMA, Company law and Listing Compliances, Valuation of Shares and Securities. CS. Ishan Jain is a Fellow Member of ICSI and also pursuing C.A. (Final). He is having more than 10 years' professional experience and also co-authored various books which includes Guide to NRIs and PIO, Guide to Private Limited Companies, Law and Procedure of LLP, Guide to Easy Exit Scheme 2010 and Company Law Settlement Scheme-2010.
